These Terms of Service ("Terms") are a legally binding agreement between you ("you," "Customer," or "User") and Elektron Aminos ("Elektron Aminos," "we," "us," or "our") governing access to and use of elektronaminos.com and related sites, applications, checkout, accounts, promotions, and communications (collectively, the "Website"), and the purchase of research materials and services. By accessing the Website, creating an account, placing an order, or completing any checkout affirmation, you agree to these Terms. If you do not agree, do not use the Website or purchase products.

These Terms incorporate by reference our Privacy Policy, Disclaimer, Returns, Refunds & Store Credit, Shipping Information, and any program rules we publish for referrals, store credit, or Elektron Rewards. If you use the Website on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization.

1. Acceptance; electronic agreements

You agree that electronic checkboxes, typed signatures, click-to-accept, and similar electronic acts constitute your signature and acceptance under the U.S. E-SIGN Act and applicable state law. We may retain records of your acceptance (including IP, timestamp, version, and order compliance snapshot) for audit, fraud prevention, payment-processor, and legal purposes.

2. Eligibility (21+; qualified research purchasers only)

The Website and products are available only to individuals who are at least 21 years of age and who are (or who purchase on behalf of) qualified researchers, laboratory professionals, academic or commercial research organizations, or other entities engaged in lawful scientific or industrial research. You represent and warrant that:

• You are 21 years of age or older and legally capable of entering this agreement;
• You are purchasing solely for in-vitro laboratory / Research Use Only purposes and not for human or animal consumption, clinical use, compounding for patients, dietary supplementation, cosmetics, or recreational use;
• You will comply with all applicable laws and regulations regarding purchase, possession, import, export, storage, and use of research materials;
• Information you provide (identity, entity type, shipping address, payment credentials) is true, complete, and not fraudulent; and
• You are not subject to U.S. trade sanctions and are not located in a comprehensively sanctioned jurisdiction, and you will not divert products in violation of U.S. export or sanctions law.

We may approve, refuse, cancel, or reverse any account or order at our sole discretion—including for eligibility, fraud, chargeback risk, payment-processor rules, inventory, or compliance concerns. We may request government ID, institutional email, lab credentials, business documents, or other verification at any time. Failure to provide satisfactory verification may result in cancellation without cash refund (subject to our Returns policy and non-waivable law).

3. Products; Research Use Only; no FDA approval

All products and compounds sold by Elektron Aminos are intended and sold strictly as Research Use Only materials for in-vitro laboratory research by qualified personnel. They are not drugs, biologics, medical devices, food, dietary supplements, or cosmetics. Nothing sold on this Website is FDA-approved for any therapeutic, diagnostic, or prophylactic purpose. Product pages, literature links, Certificates of Analysis (COAs), and scientific references are for research context only and do not constitute medical advice, dosing guidance, safety claims, or instructions for human or animal use.

By purchasing, you acknowledge and agree that:

• Products are for in-vitro research and laboratory use only;
• Products are not for human or animal consumption, injection, topical application as a drug/cosmetic, diagnosis, treatment, cure, mitigation, or prevention of any disease or condition;
• You will not request, and we do not provide, human or animal dosing, reconstitution for clinical use, or “how to take” instructions;
• You are solely responsible for determining suitability of materials for your lawful research protocol and for compliance with institutional and regulatory requirements;
• COAs and third-party testing describe analytical results at the time of testing and do not warrant fitness for any particular research outcome; and
• Descriptions, purity claims, and specifications may change; catalog images are illustrative.

4. Account registration; security

You may create an account to order, track shipments, hold store credit, earn Elektron Rewards points, and manage support tickets. You are responsible for safeguarding credentials and for all activity under your account. Notify us promptly of unauthorized use. We may suspend accounts for suspected fraud, policy abuse, chargebacks, or prohibited conduct.

5. Orders; pricing; taxes

• Orders are offers to purchase; they are not accepted until we confirm and (as applicable) payment clears.
• We may refuse, cancel, or limit quantity for any reason, including inventory, pricing error, fraud risk, or eligibility.
• Prices, promotions, and availability may change without notice prior to acceptance.
• You are responsible for all applicable taxes, duties, and governmental charges. If we collect tax where required, it will be shown at checkout; otherwise you remain responsible.
• You must complete all checkout compliance affirmations (including age, research use, terms, Research Database consent, and sales-final / no cash-refund acknowledgment). Those affirmations form part of the order record.
• You must confirm that the research email on the order may be used in the Elektron Aminos Research Database as described in our Privacy Policy. This is separate from optional marketing email preferences.

6. Payment; card processors; authorization

We may accept payment methods we enable from time to time (for example card payments via Stripe or similar processors, bank / Pay-by-Bank rails, and manual methods such as Zelle, Cash App, Venmo, or cryptocurrency). By submitting payment information you represent that you are authorized to use the payment method and that the transaction is lawful.

• Authorization. You authorize us and our payment processors to charge, reserve, or capture the full order amount (including shipping, taxes if collected, and fees) and to re-attempt failed charges where appropriate.
• Third-party processors. Card and bank payments are processed by independent payment service providers. Their terms and privacy policies also apply. We do not store full card PAN/CVV on our servers when using tokenization-based processors.
• Merchant / network rules. You agree not to use our checkout in ways that violate card network rules, bank rules, or processor acceptable-use policies—including purchases for prohibited end uses (e.g., human consumption of research chemicals) or fraudulent transactions.
• Fraud & risk tools. We and our processors may use fraud screening, AVS/CVV checks, 3-D Secure / SCA, device fingerprinting, address verification, and manual review. We may delay, cancel, or reverse orders that fail risk checks.
• Manual payment methods. For Zelle, Cash App, Venmo, crypto, or similar methods, orders may remain unpaid until we confirm receipt of funds matching the stated reference. Incorrect amounts, missing memos, or delayed payments may delay or cancel fulfillment.
• Currency. Unless stated otherwise, prices are in U.S. dollars.

7. Chargebacks, disputes, and friendly fraud

You agree to contact Elektron Aminos support before initiating a chargeback, payment dispute, bank recall, or similar claim so we can review documentation under our Returns policy. Nothing here limits non-waivable cardholder rights under applicable law.

• Filing a chargeback for buyer's remorse, Research Use Only dissatisfaction, or after receiving goods, without first giving us a reasonable opportunity to resolve a documented claim, may be treated as a material breach.
• We may contest chargebacks with evidence including order records, compliance affirmations, IP/device data, delivery tracking, photographs you submit, account history, and communications.
• If a chargeback or dispute results in a payment reversal after goods were shipped or delivered, you remain responsible for the full amount of the order, shipping, and reasonable recovery costs (including processor fees), to the fullest extent permitted by law.
• Repeated chargebacks, friendly fraud, or payment abuse may result in account termination, order cancellation, and reporting to fraud-prevention services where lawful.

8. Shipping and delivery

We ship to addresses within the United States that we can reasonably verify, subject to carrier limitations and our Shipping Information. Delivery estimates are not guarantees. Title and risk of loss pass upon delivery to the carrier except where mandatory law provides otherwise. You are responsible for providing a complete, accurate shipping address and for securing the package after delivery. We are not responsible for carrier delays, weather, acts of God, customs (if ever applicable), or other events beyond our reasonable control, except as we may elect to assist under a validated claim with required proof.

9. Returns; damage protection; no cash refunds

Because products are sensitive Research Use Only materials, all sales are final once packed or shipped, and we do not offer cash or original-payment-method refunds, as set out in our Returns & Refunds policy (incorporated by reference). Every order is protected against documented damage in transit: with timely notice and photo evidence, we may approve a one-time replacement and/or store credit (one remedy per customer per order, subject to review). Opened, reconstituted, or improperly stored products are not eligible. Change of mind, research outcomes, and misuse are not grounds for credit or refund. Unauthorized physical returns will not be processed.

10. Store credit; Elektron Rewards; referrals; promotions

• Store credit (including welcome credit, referral credit, Elektron Rewards points converted to credit, or claim-related credit) is optional at checkout, has no cash value, is generally non-transferable, is not redeemable for cash, and may be reversed for fraud, chargebacks, or abuse. Program rules may change.
• Elektron Rewards is a free loyalty program for qualified research accounts. Points are earned on eligible shipped or picked-up Research Use Only orders and may be redeemed for store credit. Points and any legacy prize codes have no cash value and are not gambling products.
• Referral program terms (discount and credit rates, unlock timing) are published on our Referrals page. Self-referrals and fraudulent referral activity are prohibited. Rates may be updated.
• Promo codes may be single-use, account-bound, time-limited, and subject to minimum order and stacking rules. We may cancel codes obtained or used improperly.

11. Prohibited conduct

You agree not to, and not to assist others to:

• Use the Website or products for any unlawful purpose;
• Purchase, possess, or use products for human or animal consumption, clinical administration, bodybuilding, recreational use, or any non-research purpose;
• Discuss, request, promote, or engage in human or animal dosing of products purchased from us (including via email, tickets, social media, or third-party platforms) in connection with our brand or products;
• Market, relabel, or represent our products as suitable for human consumption, therapy, diagnosis, or veterinary drug use;
• Misrepresent identity, age, research credentials, shipping address, or payment authorization;
• Commit payment fraud, friendly fraud, triangulation fraud, card testing, or unauthorized use of payment credentials;
• Resell products without our prior written authorization (except lawful institutional procurement channels we approve);
• Export or re-export products in violation of U.S. law;
• Interfere with the Website, scrape at scale without permission, or attempt unauthorized access;
• Harass staff or abuse support channels; or
• Circumvent eligibility gates, quantity limits, or fraud controls.

Violation may result in immediate account termination, order cancellation, permanent ban, chargeback contestation, and reporting to processors, banks, or law enforcement where appropriate.

12. Intellectual property; Website content

The Website and its content (text, graphics, logos, images, software, layout) are owned by Elektron Aminos or its licensors and protected by intellectual property laws. You may not copy, scrape for commercial datasets, reverse engineer, or create derivative works without our written permission, except for limited personal viewing as needed to place a research order. Product literature and third-party citations remain the property of their respective owners.

13. Third-party services and links

The Website may integrate or link to third parties (payment processors, carriers, analytics, address validation, crypto/payment partners). We are not responsible for third-party sites, outages, or their terms. Your use of those services is at your risk and subject to their policies.

14. Assumption of risk

You expressly acknowledge that purchase, possession, handling, storage, and use of any products from Elektron Aminos is at your sole risk. Products are sold solely for in-vitro laboratory research. You voluntarily assume all risks associated with the products, including improper storage, handling, contamination, degradation, misuse, or any application to humans or animals. To the fullest extent permitted by law, you waive claims against Elektron Aminos arising from use or misuse of products.

15. Disclaimer of warranties

The Website and all products are provided "as is" and "as available" without warranties of any kind, express or implied. To the fullest extent permitted by law, Elektron Aminos disclaims all warranties, including merchantability, fitness for a particular purpose, non-infringement, and course of dealing. Without limiting the foregoing, we make no warranty that: (a) products will meet your research requirements or produce any particular results; (b) quality, purity, or composition will remain unchanged after delivery; (c) Website content, research data, or references are complete, accurate, or current; or (d) the Website will be uninterrupted, secure, or error-free. COAs reflect testing at the time of analysis and do not constitute a warranty of fitness for any specific application.

16. Limitation of liability

To the maximum extent permitted by law, Elektron Aminos and its owners, officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising from the Website, products, or information on the Website—including personal injury, illness, death, property damage, lost profits, lost data, or business interruption—even if advised of the possibility. Our total aggregate liability for all claims related to these Terms shall not exceed the amount you paid to Elektron Aminos for the specific product(s) giving rise to the claim. Some jurisdictions do not allow certain limitations; in those cases our liability is limited to the maximum extent permitted.

17. Indemnification

You agree to indemnify, defend, and hold harmless Elektron Aminos and its owners, officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use, misuse, storage, or handling of products—including any injury, illness, death, or property damage from administration, injection, ingestion, or application to any human or animal;
• Statements, health claims, dosing recommendations, or marketing you make about our products to third parties;
• Advertising, social media, testimonials, or promotions you publish referencing our products;
• Violation of these Terms or prohibited conduct;
• Violation of law or third-party rights in connection with products;
• Chargebacks, payment disputes, or fraud associated with your account or orders; and
• Regulatory investigations or enforcement related to your actions, statements, or non-research use of products.

This obligation survives termination. We may assume exclusive defense of any matter subject to indemnification, at your expense. You will not settle without our prior written consent.

18. Dispute resolution; arbitration; class waiver

Please read this section carefully—it affects your legal rights.

• Binding arbitration. Except for small-claims and injunctive relief described below, any dispute arising out of these Terms, the Website, or products shall be resolved by final binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, before a single arbitrator, seated in the State of Wyoming, and conducted in English. Judgment on the award may be entered in any court of competent jurisdiction.
• Class action waiver. You agree that proceedings will be only on an individual basis and not as a class, consolidated, or representative action. You waive participation in class actions against Elektron Aminos.
• Small claims.Either party may bring an individual action in small claims court within that court's limits.
• Injunctive relief. We may seek injunctive or other equitable relief in any court of competent jurisdiction to protect IP, prevent fraud, or prevent irreparable harm.

By agreeing to these Terms you acknowledge waiver of jury trial and class participation to the extent permitted by law. If the class waiver is found unenforceable as to a claim, that claim shall proceed in court, not arbitration, solely as to that claim.

19. Governing law; venue

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law rules. Subject to arbitration, exclusive venue for permitted court actions is the state or federal courts in Wyoming, and you consent to personal jurisdiction there.

20. Force majeure

We are not liable for failure or delay caused by events beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, epidemics, supply-chain failure, carrier failure, utility outages, cyber incidents, government action, or payment-network disruption.

21. Termination

We may suspend or terminate your account and refuse future use of the Website at any time, for any lawful reason, including Terms violations, suspected misuse, failed verification, fraud, chargeback abuse, or risk to processors, customers, or our business. Termination does not relieve obligations that by nature should survive (including payment, indemnification, IP, arbitration, and limitations).

22. Information you provide; privacy

Our collection and use of personal information is described in our Privacy Policy. You grant us rights needed to operate the Website, fulfill orders, process payments, prevent fraud, comply with law, and maintain the Research Database and business records as described there. Nothing in these Terms waives non-waivable privacy rights under applicable law.

You grant Elektron Aminos a perpetual, irrevocable, worldwide, royalty-free license to use de-identified or aggregated data derived from Website and order activity for analytics, security, and service improvement. We may share information with processors, carriers, fraud vendors, and professional advisors as needed to operate and protect the business.

23. SMS / messaging (if you opt in)

If you opt into SMS or similar messaging, you consent to recurring automated messages as described in the enrollment flow. Message and data rates may apply. Consent is not a condition of purchase. Reply STOP to cancel marketing texts; HELP for help. Carriers are not liable for delayed or undelivered messages. See our Privacy Policy for data practices.

24. Changes to Terms

We may modify these Terms at any time by posting an updated version on the Website with a new "Last updated" date. Material changes apply prospectively. Continued use after posting constitutes acceptance. For checkout, the version accepted at order time is recorded in the order compliance snapshot.

25. Severability; waiver; assignment

If any provision is unenforceable, the remainder remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign to an affiliate or successor in connection with a reorganization, financing, or sale of assets.

26. Entire agreement

These Terms, together with the Privacy Policy, Disclaimer, Returns policy, Shipping Information, and other policies referenced herein, constitute the entire agreement between you and Elektron Aminos regarding the Website and purchases, and supersede prior communications. No employee or agent statement (email, chat, social media, or support) modifies these Terms unless in a written amendment signed by an authorized officer of Elektron Aminos.
